On June 10, 2021, Ayala Pharmaceuticals, Inc. (the Company) held its Annual Meeting of Stockholders (the Meeting). A total of 9,529,152 shares of the Companys common stock, $0.01 par value per share (the Common Stock) were present in person or represented by proxy at the Meeting, representing approximately 72% percent of the Companys outstanding Common Stock as of the April 16, 2021 record date. The following are the voting results for the proposals considered and voted upon at the Meeting, each of which were described in the Companys Definitive Proxy Statement filed with the Securities and Exchange Commission on April 27, 2021.
Item 1 Election of two Class I directors for a term of office expiring on the date of the annual meeting of stockholders to be held in 2024 and until their respective successors have been duly elected and qualified or until each such directors earlier death, resignation or removal.
